Welcome to SmartChat (hereinafter referred to as "the Service" or "we"). Please read these Terms of Service carefully before using the Service. By using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, please stop using the Service.
1. Service Overview
SmartChat is an all-channel smart customer service platform for global businesses, providing multi-channel message aggregation, AI-powered smart replies, real-time translation, team collaboration, customer management, data analytics, and more. It supports unified management across mainstream messaging channels including WhatsApp, Facebook Messenger, Telegram, Instagram, LINE, Email, and Discord.
2. Account Registration and Management
- You must register an account to use the Service. You should provide true, accurate, and complete information during registration.
- You are responsible for safeguarding your account information and password. You bear all consequences arising from the leakage of your account due to your own reasons.
- If you discover any unauthorized use of your account, please notify us immediately via Telegram @dmvip888.
- We reserve the right to refuse or terminate accounts, especially in cases where you violate these Terms.
3. Service Content and Limitations
- The specific features available depend on your selected plan (Pro, Max, or Custom).
- We reserve the right to add, modify, or discontinue certain features based on business needs, with advance notice to you.
- We do not guarantee permanent compatibility with all third-party platforms. Service limitations caused by third-party platform policy changes do not constitute a breach of contract.
- You must not use the Service for any illegal, fraudulent, or infringing activities.
- You must not attack, crack, or interfere with our systems and services through technical means.
4. Payment and Billing
- The Service uses a subscription-based billing model. Fees are calculated based on your selected plan and number of seats.
- We support USDT and other cryptocurrency payment methods. No fiat currency refunds are provided after payment, but you may continue using the service for the duration of your subscription period.
- If you do not renew after your subscription expires, we reserve the right to suspend or terminate the Service.
- We reserve the right to adjust service pricing. Price changes will be communicated to existing users 30 days in advance and take effect at the next billing cycle.
- Volume discounts (10% off for 3+ seats, 20% off for 7+ seats) are based on the actual order at the time of purchase.
5. Intellectual Property
- All content of the Service, including but not limited to software, interface design, documentation, and logos, is protected by intellectual property laws.
- You may not copy, modify, distribute, or otherwise use our intellectual property without our written permission.
- You retain ownership of the intellectual property of content you create through the Service (such as message templates, automation rules, etc.).
6. Data and Privacy
- Our handling of your data follows the Service's Privacy Policy.
- You retain ownership of your business data, including customer information and conversation records.
- Custom plan users may opt for private deployment to achieve full data autonomy.
- After service termination, we will delete or return your data within a reasonable period, except where otherwise required by law.
7. Disclaimer
- The Service is provided "as is" and "as available" without any express or implied warranties.
- We are not liable for service interruptions caused by force majeure, including but not limited to natural disasters, wars, government actions, and cyber attacks.
- We are not responsible for impacts caused by policy changes or service disruptions of third-party messaging platforms (WhatsApp, Telegram, etc.).
- We are not legally responsible for the content of communications between you and your customers through the Service.
8. Service Level Agreement (SLA)
We commit to providing 99.9% system availability for paid users. Custom plan users enjoy dedicated SLA guarantees as specified in their contracts. If service unavailability exceeds the SLA commitment due to our causes, we will provide equivalent service duration compensation based on actual downtime.
9. Breach and Termination
- If you violate these Terms of Service, we reserve the right to suspend or terminate your account and delete related data.
- You may stop using the Service and cancel your account at any time. Fees already paid are non-refundable.
- After account termination, provisions regarding intellectual property, disclaimers, and dispute resolution shall remain in effect.
10. Dispute Resolution
These Terms of Service are governed by the laws of Singapore. Any disputes arising from or relating to these Terms shall first be resolved through amicable negotiation. If negotiation fails, either party may submit the dispute to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with its rules. The arbitration language shall be English, and the arbitral award shall be final and binding on both parties.
11. Terms Amendments
We may revise these Terms of Service from time to time. Significant revisions will be communicated at least 30 days in advance through in-service notifications. Your continued use of the Service constitutes acceptance of the revised Terms. If you do not agree with the revisions, you may stop using the Service and cancel your account.
